Disney buys Star Wars maker Lucasfilm from George Lucas

Disney is buying Lucasfilm, the company behind the Star Wars films, from its chairman and founder George Lucas for $4.05bn (£2.5bn).

Mr Lucas said: "It's now time for me to pass Star Wars on to a new generation of film-makers."

In a statement announcing the purchase, Disney said it planned to release a new Star Wars film, episode seven, in 2015.

That will be followed by episodes eight and nine and then one new movie every two or three years, the company said.

The last Star Wars film was 2005's Revenge of the Sith, and Disney said it believed there was "substantial pent-up demand".

Disney will pay about half in cash and half in stock, issuing 40 million Disney shares in the transaction.

"Our valuation of Lucasfilm is roughly comparable to the value we placed on Marvel when we announced that acquisition in 2009," Disney said, adding that the valuation was almost entirely driven by the Star Wars franchise.

The first Star Wars film was released in 1977.

"For the past 35 years, one of my greatest pleasures has been to see Star Wars passed from one generation to the next," said George Lucas.

"I've always believed that Star Wars could live beyond me, and I thought it was important to set up the transition during my lifetime."

The Walt Disney Company announced today it has agreed to acquire Lucasfilm and is planning Star Wars Episode 7 for 2015! In a conference call, Disney revealed that they are planning a new trilogy starting in 2015 with a new movie coming every other year. This is following such big purchases as Pixar and Marvel Entertainment. Here is the full press release:

Continuing its strategy of delivering exceptional creative content to audiences around the world, The Walt Disney Company has agreed to acquire Lucasfilm Ltd. in a stock and cash transaction. Lucasfilm is 100% owned by Lucasfilm Chairman and Founder, George Lucas.

Under the terms of the agreement and based on the closing price of Disney stock on October 26, 2012, the transaction value is $4.05 billion, with Disney paying approximately half of the consideration in cash and issuing approximately 40 million shares at closing. The final consideration will be subject to customary post-closing balance sheet adjustments.

"Lucasfilm reflects the extraordinary passion, vision, and storytelling of its founder, George Lucas," said Robert A. Iger, Chairman and Chief Executive Officer of The Walt Disney Company. "This transaction combines a world-class portfolio of content including Star Wars, one of the greatest family entertainment franchises of all time, with Disney's unique and unparalleled creativity across multiple platforms, businesses, and markets to generate sustained growth and drive significant long-term value."

Under the deal, Disney will acquire ownership of Lucasfilm, a leader in entertainment, innovation and technology, including its massively popular and "evergreen" Star Wars franchise and its operating businesses in live action film production, consumer products, animation, visual effects, and audio post production. Disney will also acquire the substantial portfolio of cutting-edge entertainment technologies that have kept audiences enthralled for many years. Lucasfilm, headquartered in San Francisco, operates under the names Lucasfilm Ltd., LucasArts, Industrial Light & Magic, and Skywalker Sound, and the present intent is for Lucasfilm employees to remain in their current locations.

Kathleen Kennedy, current Co-Chairman of Lucasfilm, will become President of Lucasfilm, reporting to Walt Disney Studios Chairman Alan Horn. Additionally she will serve as the brand manager for Star Wars, working directly with Disney's global lines of business to build, further integrate, and maximize the value of this global franchise. Ms. Kennedy will serve as executive producer on new Star Wars feature films, with George Lucas serving as creative consultant. Star Wars Episode 7 is targeted for release in 2015, with more feature films expected to continue the Star Wars saga and grow the franchise well into the future.

The acquisition combines two highly compatible family entertainment brands, and strengthens the long-standing beneficial relationship between them that already includes successful integration of Star Wars content into Disney theme parks in Anaheim, Orlando, Paris and Tokyo.

Adding Lucasfilm to Disney's portfolio of world class brands significantly enhances the company's ability to serve consumers with a broad variety of the world's highest-quality content and to create additional long-term value for our shareholders.

The Boards of Directors of Disney and Lucasfilm have approved the transaction, which is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, certain non-United States merger control regulations, and other customary closing conditions. The agreement has been approved by the sole shareholder of Lucasfilm.

I am flabbergasted I'm not even sure I completely believe it but the video is overwhelming proof unless this is the greatest trolling of all time.

This, this is why I miss red rep.




Star Wars love it or hate it. Has done something that no other franchise has done. It continually reinvents itself it's made the most money several times over and is loved by millions. The exact same can be said for Disney. Many are worried as they should be when something like this happens as it gives the opportunity to crush something that so many love, but thankfully George already did that so no worries only way to go is up right?

Kathleen Kennedy is Steven Spielbergs #2 I'm sure that she is more than capable to handle the franchise. Luckily for me I met her assistant and have an in time to break out the chapstick.

I'm not a big fan of Star Wars, some were good, some were boring imo. I won't bash it though because it's probably the most succesful Movie Franchise around and extremely popular. Will be interesting to see what Disney do with it.

Interesting and Smart purchase. Despite how good or bad the Movies end up being the name will sell them, Win/Win for both parties. Have to admit I am excited to see where they go with the next one.

Actually originally it was set to be 12. He then said at one point that would probably never happen he'd probably only do 9. Then it dropped to six. Classic Lucas.

Incredibly stupid on his part, he could have made bucket loads of money off another film. Oh well, I'm just hoping he has some kind of part in this new film.

Oh okay, that's wicked. People are getting upset over the whole thing, but I can totally see it benefiting a lot of people, especially fans.

I dont really want to get into another comic conversation, but it needs to be done to bring some light to the events, and a reason people shouldnt be getting their geek panties in a bunch.

3 years ago Disney purchased Marvel Comics, and just about every fanboy(myself included) jumped to conclussions about Mickey Mouse-ing some of the most badassed characters in comics, like The Punisher, Deadpool, Daredevil, Wolverine, etc., although Disney itself moved its comic book properties over to Marvel(from Boom! Studios), and the all age appropriate Season One graphics(origin stories retold for new/returning reading featuring all the retcons), nothing has effected the way the T books are done(the core reading audience), Deadpool & Wolverine help Fantomex kill a child(clone of Apocalypse, but still a kid), Cyclops kills Professor Xavier, Venom's arch nemesis is a serial killer who hollows out his victims heads like a Jack-O-Lantern(also happens to be the monicker he picked up), and even Spider-Man's murderous clone Kaine has gotten his own comic as the new Scarlet Spider. Then there is always the Avengers Innitiative, with the Iron Man(1 & 2), Captain America, Thor, & Hulk movies leading up to what would be the most action packed comic adaptation in Avengers.

Sales have gone up for Marvel every year since, and at the time of the buy out Marvels best sellers couldnt touch an issue of The Walking Dead released 5 months earlier. Star Wars itself, is not in a very good spot, with viewers leaving The Clone Wars, toy sales down, and the Blu-Ray boxed set being the lowest selling Star Wars box set, and Disney having success reviving a failing company, this all sounds like a great idea to me.

In the end, I have hope that Disney has no intention of alienating an existing die hard fanbase.
